R-2025-149 A RESOLUTION ratifying and confirming the City Manager's execution of Yakima Valley Trolleys Supplemental Agreement Number 6. WHEREAS, the City of Yakima (City) owns an interurban electrical railway system and museum located at 306 West Pine Street; and WHEREAS, on July 7, 2020 the City adopted R-2020-075 to accept Operation License Agreement with Yakima Valley Trolleys (YVT), a non-profit corporation to operate and maintain the electric railway systems and museum, which is set to expire on September 30, 2025; and WHEREAS, the Supplemental Agreement to December 31, 2025 allows time to prepare a new Operations License Agreement for 2026 — 2030 with no change to the budget; and WHEREAS, the City wishes to continue the relationship between it and Yakima Valley Trolleys to operate and maintain the system and the museum for the benefit of residents and visitors of Yakima; and WHEREAS, the City finds that it is in the best interest of the City of Yakima and its residents to ratify and confirm the City Manager's execution of Supplemental Agreement Number 6; now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Council of the City of Yakima ratifies and confirms the City Manager's execution of Supplemental Agreement Number 6 with Yakima Valley Trolleys to extend the contract agreement to December 31, 2025 with no change to the budget. Said Agreement is attached hereto and fully incorporated herein. ADOPTED BY THE CITY COUNCIL this 71h day of October, 2025. Pine Street Yakima, WA 98902 Execution Date of Supplement: September 22, 2025 Completion Date of Supplement: December 31, 2025 Maximum Amount Payable this Supplement: N/A N/A Section 1: Supplemental Agreement The City of Yakima, Washington desires to supplement the contract agreement entered into with Yakima Valley Trolleys, and executed on July 8, 2020 by Resolution No2020-075 and identified as Contract 2020- 117, and further Supplemented on Dec 30, 2024, Feb 27, 2025, April 16, 2025, June 30, 2025, and August 29, 2025. All provisions in the basic contract remain in effect except as expressly modified by this supplement. The changes to the agreement are described as follows: Section 2: Scope of Services No Change. Section 6: Compensation No Change. Section 8: Project Schedule and Budget Agreement end date is extended to December 31, 2025 to allow time to prepare a new Operations License Agreement for 2026 - 2030. No change to the budget. For Meeting of: October 7, 2025 ITEM TITLE: Resolution ratifying and confirming the City Manager's execution of the Trolley Supplemental Agreement Number 6 (General Fund) SUBMITTED BY: Bill Preston, Community Development Director SUMMARY EXPLANATION: On July 7, 2020 the City of Yakima (CITY) adopted R-2020-075 to accept the Operation License Agreement with Yakima Valley Trolleys (YVT), a non-profit corporation to operate and maintain the electric railway systems and museum, which was set to expire on September 30, 2025. At the September 16, 2025 City Council meeting, the Council directed staff to prepare a Supplement to the Agreement extending the end date to December 31, 2025. The extension does not have budgetary impact. Since the City Council isn't scheduled to meet again before the current agreement expires, ratification of the signed agreement is required. The city recommends ratifying and confirming Supplemental. Agreement No. 6 which extends the expiration date to December 31, 2025.
