A RESOLUTION authorizing the execution of a gift agreement with Washington State
University involving a student research project to generate schematic
designs on downtown development issues.
WHEREAS, the Downtown Area Redevelopment Committee (DARC) has been
working since July 99 with Kathryn Keane, Professor at Washington State University School
of Architecture, to utilize the learning experience provided by student research projects to
generate ideas and concepts for a schematic design project of the sixteen -block downtown
Yakima retail area; and
WHEREAS, the City Council deems it to be in the best interests of the City of
Yakima to enter into a gift agreement with Washington State University involving this
research project and to authorize an expenditure of an amount not to exceed Ten Thousand
Dollars ($10,000.00); from the Parking and Business Improvement Professional Services
budget line (161. 161. 612. 0000. 57390. 410) now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager is hereby authorized and directed to execute the attached Gift
Agreement with Washington State University involving an amount not to exceed Ten
Thousand dollars ($10,000.00)

There is hereby established with the Washington State University Foundation the Yakima
Downtown Area Development Committee Gift to be managed within the Architecture
Development Fund [17A 2310-8756].
PROCEDURES
Any and all contributions shall be administered in the manner set forth herein, and disbursements
shall be made in accordance with the provisions specified in this document. The Board of
Trustees of the WSU Foundation, or its designee, has and shall have full and plenary power and
authority to take, hold, manage, invest and reinvest any principal hereunder, and any increase or
accumulation to it, and any income from it, consistent with management policies of the Board of
Trustees, or its designee.
USES AND PURPOSES
This gift shall be used to provide financial support to Arch 303.4 (under the supervision of
Assistant Professor Keane). Students in the class will utilize the learning experience provided by
Downtown Area Development Committee (DADC) to generate ideas and concepts for a
regenerative design study of the downtown Yakima area. The requirements of the DADC will be
integrated into the educational requirements of the curriculum whenever possible unless there
exists a conflict with the educational goals. The project will be executed by third year students
and the standard will be reflective of their experience and knowledge. The final products of the
class will be shared with the Downtown Area Development Committee, Yakima.
The final products will be schematic design documents and in no way should be considered as
construction documents or other.
The uses and expenditures of this gift shall be consistent with Washington State University
policies. This gift shall be administered by the Director of the School of Architecture or his/her
designee(s). Any program or project supported hereunder must be consistent with the tax-
deductible status of gifts made to the Washington State University Foundation.
CHANGE OF CONDITIONS
If, at some future date, circumstances within Washington State Universityshould change so that
the uses and purposes for which this gift has been made are no longer existent and/or are in
conflict with administrative or academic policies of the University, then the gift may be used in a
manner which is in the best interests of Washington State University, bearing in mind the wishes
of the donor(s) set forth herein. In this unlikely event, every effort shall be made by the
University to contact the donor(s) prior to any change in gift disbursement.
If the WSU Foundation is dissolved, donor(s) consent that this gift shall automatically revert to
Washington State University to be managed by the University consistent with the laws of the
state of Washington and the uses and purposes established by this document.
INTEGRATION
There are no verbal agreements or understandings which modify this Agreement. This
Agreement constitutes the full understanding between the donor and Washington State
University/WSU Foundation.

SUMMARY EXPLANATION:
At your meeting on December 21, 1999, the Council approved a resolution authorizing and
directing the City Manager to approve a Reimbursement of Expenses Agreement with Washington
State University School of Architecture for a student architectural study to be carried out in the
Downtown Area Redevelopment Committee (DARC) sixteen block area. This study funded from
assessments received by the City from Downtown Parking and Business Improvement Area (PBIA)
has been recommended by the DARC committee.
In developing this agreement with Washington State University, we have been informed that a
formal agreement between the City and Washington State University will trigger a requirement of a
45% indirect cost to the University to manage the contract. This 45% represents an unanticipated
expense which must be subtracted from the $10,000 dollar amount scheduled to go to the School of
Architecture. Through our negotiations, we have learned that one alternative to the 45% indirect
cost is for the Council to approve a "gift". With this change, there will be no 45% indirect cost.
It is important to note that because this is a gift, there may be no binding standards of performance
for the student project here in Yakima. Under the circumstances and considering the value of this
project to DARC and the City and the outstanding reputation of the University, we feel that the risk
of working with the School of Architecture without a formal binding contract is acceptable.

There have been a couple contracts sent to you recently to obtain signatures that
we have not received back. Please check into them and let us know their status.
1. January 18, 2000 - Resolution R-2000-6, Gift Agreement with WSU for a
student architectural study in the Downtown Area Redevelopment
Committee sixteen block area. This agreement was signed by Dick Zais but
required WSU signatures. Have those signatures been obtained and do you
have an original back?
2. February 15, 2000 - Resolution R-2000-19, Professional Services Agreement
with the Yakima County Development Association for expertise in
community economic development. This agreement had been signed by Dick
Zais but required Yakima County Development Association's signatures. We
have not yet received anything back, can you give me a status report please?
