A RESOLUTION authorizing and directing the City Manager and the City Clerk of the
City of Yakima to execute the attached City of Yakima
Ambulance/Emergency Services Contract for Yakima City Jail
Inmates to establish the respective responsibilities of the City of
Yakima and Advanced Life Systems, Inc. regarding the emergency
transport of City Jail inmates to local area hospitals when inmate
emergency medical care is required.
WHEREAS, the City of Yakima and Advanced Life Systems, Inc. wish to
establish a mutually agreeable service contract between the parties whereby Advanced
Life Systems, Inc. will provide transportation/emergency ambulance services to the
Yakima City Jail for inmate emergency medical transport at a fixed service rate; and
WHEREAS, that in consideration for said fixed rate medical transport services,
the City will utilize Advanced Life Systems, Inc. as a "first call" provider of emergency
ambulance transportation services for Yakima City Jail Inmates; and
WHEREAS, the City does not foresee, based upon its previous experience, that
the total cost of annual emergency transport services for jail inmates will exceed Ten
Thousand and No /100 Dollars ($10,000.00); and
WHEREAS, it is mutually beneficial to the City and to Advanced Life Systems,
Inc. to agree to certain emergency service specifications in order to provide the best
possible emergency transport services to jail inmates for a reasonable fixed price; and
WHEREAS, the City Council deems it to be in the best interest of the City to
execute the attached contract between the City of Yakima and Advanced Life Systems,
Inc., as the complete representation of the parties' agreement and respective
responsibilities regarding the emergency transport of City Jail Inmates to local area
hospitals when inmate emergency medical care is required, now, therefore,

The City Manager and the City Clerk of the City of Yakima are hereby
authorized and directed to execute the attached and incorporated "City of Yakima
Ambulance/Emergency Services Contract for Yakima City Jail Inmates".

CITY OF YAKIMA AMBULANCE/EMERGENCY SERVICES CONTRACT
for
YAKIMA CITY JAIL INMATES
PARTIES TO CONTRACT: CITY OF YAKIMA
ADVANCED LIFE SYSTEMS, INC. — Ambulance Service
WHEREAS, the City of Yakima and Advanced Life Systems, Inc., wish to
establish a mutually agreeable service contract between the parties whereby Advanced
Life Systems, Inc., will provide transportation/emergency ambulance services to the
Yakima City Jail for inmate emergency medical transport at a fixed service rate; that in
consideration for said fixed rate medical transport services the City of Yakima will utilize
Advanced Life Systems, Inc., as a "first call" provider of emergency ambulance
transportation services for Yakima City Jail Inmates;
WHEREAS, the City of Yakima does not foresee, based upon its previous
experience, that the total cost of annual emergency transport services for jail inmates
will exceed Ten Thousand and no/100 Dollars ($10,000.00);
WHEREAS, it is mutually beneficial to the City of Yakima and to Advanced Life
Systems, Inc., to agree to certain emergency service specifications in order to provide
the best possible emergency transport services to jail inmates for a reasonable fixed
price;
NOW, THEREFORE, in consideration of the mutual benefits to be derived by
each of the parties hereto through this agreement, the City of Yakima and Advanced
Life Systems, Inc., agree as follows:
I. SPECIFIC CONTRACT CONDITIONS
The parties to this contract agree that the City of Yakima will utilize Advanced
Life Systems, Inc., as a "first call" emergency transportation services provider for the
period beginning on the first full calendar day after this contract is approved by the
Yakima City Manager and continuing for one calendar year thereafter, terminating at
midnight on the last day of said calendar year. As a "first Call" provider the City of
Yakima agrees that Advanced Life Systems, Inc., shall be the first emergency medical
transport service called by Yakima City Jail personnel in the event any City Jail inmates
are in need of emergency medical transport to either Providence Hospital or Memorial
Hospital within the City of Yakima. It is further agreed by the parties hereto that in the
event Advanced Life Systems, Inc., is, for any reason, unable to respond promptly
when called to the Yakima City Jail for inmate transport to a local hospital, Emergency
Life Systems, Inc., shall immediately call another emergency medical transport service
provider to provide transport service to the jail.
In consideration for the City of Yakima so utilizing Advanced Life Systems, Inc.'s,
emergency services on a "first call" basis, Advanced Life Systems, Inc., agrees that it
shall charge the City of Yakima a flat rate fee of Two Hundred Thirty Dollars and no/100
($230.00) per each service transport from the City jail to either Providence Hospital or
Memorial Hospital in Yakima, said flat rate fee to include the costs of any and all life
support measures required during said transport. Advanced Life Systems, Inc., further
agrees to provide emergency transportation services in a prompt and professional
manner when called upon for transport services by the City jail.
The parties further agree that all of the terms and conditions set forth herein are
specific to emergency medical transportation services provided to the Yakima City Jail
inmates requiring medical transportation services and are exclusive of any other
emergency services required or requested by the City of Yakima.
A. Contract Renewal: The contract will be renewed automatically unless
either party hereto indicates, in writing to the other party at least 30 days prior to
the annual expiration of the contract, that the contract will not be renewed for the
succeeding calendar year.
B. Contract Termination: Either party may, at any time and with 30 days
written notice to the other party, terminate the contract terms as of the date
specified in said written notice.
II. GENERAL CONTRACT CONDITIONS
In addition to the specific contract conditions set forth above, the parties agree to
the following general contract conditions:
A. Insurance Provided by Advanced Life Systems, Inc., (hereafter "ALS,
Inc.")
(1) Professional Liability Insurance. On or before the date this
Agreement is fully executed by the parties, ALS., Inc., shall provide the City with a
certificate of insurance as evidence of professional liability coverage with a limit of One
Million Dollars ($1,000,000.00) for each wrongful act and an annual aggregate limit of at
least Two Million Dollars ($2,000,000.00). The certificate shall clearly state who the
provider is, the amount of coverage, the policy number, and when the policy and
provisions provided are in effect. The insurance shall be with an insurance company
rated A -VII or higher in Best's Guide. If the policy is on a claims made basis, the
retroactive date of the insurance policy shall be on or before the date this contract is
executed by both parties hereto, or shall provide full prior acts coverage. The insurance

coverage shall remain in effect during the term of this Agreement and for a minimum of
three (3) years following the termination of this Agreement.
(2) Commercial Automobile Liability Insurance. On or before the date
this Agreement is fully executed by the parties, ALS, Inc., shall provide the City with a
certificate of insurance as proof of commercial automobile liability insurance with a
minimum liability limit of One Million Dollars ($1,000,000.00) combined single limit bodily
injury and property damage. The certificate shall clearly state who the provider is, the
amount of coverage, the policy number, and when the policy and provisions provided are
in effect (any statement in the certificate to the effect of "this certificate is issued as a
matter of information only and confers no right upon the certificate holder" shall be
deleted). Said policy shall be in effect for the duration of this Agreement. The policy
shall name the City, its elected officials, officers, agents, and employees as additional
insureds, and shall contain a clause that the insurer will not cancel or change the
insurance without first giving the City thirty (30) calendar days prior written notice (any
language in the clause to the effect of "but failure to mail such notice shall impose no
obligation or liability of any kind upon the company" shall be crossed out and initialed by
the insurance agent). The insurance shall be with an insurance company or companies
rated A -VII or higher in Best's Guide and admitted in the State of Washington.
(3) Insurance provided by Subcontractors. ALS, Inc., shall ensure that
any subcontractors it utilizes for work/services required under this Agreement shall
comply with all of the above insurance requirements.
B. Status of Advanced Life Systems, Inc.
ALS, Inc., and the City understand and expressly agree that ALS, Inc., is
an independent contractor in the performance of each and every part of this
Agreement. ALS, Inc., as an independent contractor, assumes the entire responsibility
for carrying out and accomplishing the work/services required under this Agreement.
ALS, Inc. and its officers, employees, agents, instructors, and subcontractors shall
make no claim of City employment nor shall they claim any related employment
benefits, social security, and/or retirement.
C. Taxes and Assessments. ALS, Inc., shall be solely responsible for
compensating its employees and for paying all related taxes, deductions, and
assessments, including but not limited to, federal income tax, FICA, social security tax,
assessments for unemployment and industrial injury, and other deductions from income
which may be required by law or assessed against either party as a result of this
Agreement. In the event the City is assessed a tax or assessment as a result of this
Agreement, ALS, Inc., shall pay the same before it becomes due.
D. Non -Discrimination. During the performance of this Agreement, ALS,
Inc., shall not discriminate on the basis of race, age, color, sex, religion, national origin,
creed, marital status, political affiliation, or the presence of any sensory, mental or
physical handicap. This provision shall include but not be limited to the following:

employment, upgrading, demotion, transfer, recruitment, advertising, layoff or
termination, rates of pay or other forms of compensation, selection for training, and the
provision of services under this Agreement.
E. The Americans With Disabilities Act. ALS, Inc., agrees to comply with
the Americans With Disabilities Act of 1990, 42 U.S.C. § 12101 et seq. (ADA), and its
implementing regulations. The ADA provides comprehensive civil rights to individuals
with disabilities in the area of employment, public accommodations, state and local
government services, and telecommunications.
F. Compliance With Law. ALS, Inc., agrees to perform all training services
under and pursuant to this Agreement in full compliance with any and all applicable
laws, rules, and regulations adopted or promulgated by any governmental agency or
regulatory body, whether federal, state, local, or otherwise.
G. No Insurance provided by City. It is understood the City does not
maintain liability insurance for ALS, Inc., and/or its officers, employees, agents,
instructors, and/or subcontractors.
H. Assignment. This Agreement, or any interest herein, or claim hereunder,
shall not be assigned or transferred in whole or in part by the ALS, Inc., to any other
person or entity without the prior written consent of the City. In the event that such prior
written consent to an assignment is granted, then the assignee shall assume all duties,
obligations, and liabilities of ALS, Inc., as stated herein.
I. Severability. If any portion of the Agreement is changed per mutual
agreement or any portion is held invalid, the remainder of the Agreement shall remain in
full force and effect.
J. Integration. This written document constitutes the entire agreement
between the parties. No changes or additions to this Agreement shall be valid or
binding upon either party unless such change or addition be in writing and executed by
both parties.
K. Non -Waiver. The waiver by ALS, Inc., or the City of the breach of any
provision of this Agreement by the other party shall not operate or be construed as a
waiver of any subsequent breach by either party or prevent either party from thereafter
enforcing any such provision.
L. Survival. Any provision of this Agreement which imposes an obligation
after termination or expiration of this Agreement shall survive the term or expiration of
this agreement and shall be binding on the parties to this Agreement.
M. Governing Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Washington.

N. Venue. The venue for any action to enforce or interpret this Agreement
shall lie in the Superior Court of Washington for Yakima County, Washington.

All notices and/or demands provided in accordance with the terms
of this contract shall be mailed, certified mail, to the last known address of the party to
whom notice is sent. Such notice shall be deemed effective when mailed or hand
delivered at the addresses specified below. Notice to the City of shall be addressed to:

Life Systems, Inc. for Ambulance/Emergency Services for Yakima City
Jail Inmates

SUMMARY EXPLANATION:
The attached agreement provides for the transportation/emergency ambulance service to
the Yakima City Jail for inmate emergency medical -transportation at a fixed rate of $230
per transport, not to exceed a total annual cost of $10,000. This agreement is beneficial to
the City in that it will reduce ambulance costs on an average of $280 per emergency
medical transport.
Background:
In 1998, ambulance services were required for City jail inmates on four (4) occasions. The
average bill for those calls was $517.50. Had this contract been in place, the City would
have saved $1,150, or over 55%.
The option of contracting for this service was first explored as one small part of an overall
plan to control expenses and maintain our low per -prisoner -day costs. Although there is no
requirement to bid for service -related contracts, both ambulance services were initially
contacted and provided quotes which were within $5 of each other. Based on past
experience with both companies, Advanced Life Systems was selected as the preferred
provider. Factors included our history of dispute resolution with both companies and the
ability to deal directly with a local firm.
This agreement does not address the issue of long-distance transport. Although
conceivable, the sudden onset of serious illness or injury to a City jail inmate requiring
transport outside the Yakima area for specialized treatment was considered too remote to
be addressed in this contract. Careful medical screening, ongoing professional care and
the relatively short duration of most City jail sentences further reduces the likelihood of the
need for such service. In the event of an unforeseen emergency, the City would likely pay
the going rate.
