R-99-0 88 A RESOLUTION authorizing and directing the City Manager of the City of Yakima to execute a Sanitary Sewer Improvements and Funding Agreement with the Washington Military Department for the construction of a sewer line in the vicinity of South 10th Avenue and Pioneer Lane, Yakima County, Washington. WHEREAS, the Washington Military Department, an agency of the State of Washington, intends to construct utility improvements as part of a construction project known as "Yakima Armory and Readiness Center" ("Project"); and WHEREAS; in accordance with state law, the Washington Military Department has let the Project out for bid and has awarded the construction of the Project to Central Concrete and Utilities; and WHEREAS, the City desires to have a sewer line constructed ("Sewer Project") at a certain location within the limits of the Project, which location is more fully described on attached and incorporated Exhibit "A"; and WHEREAS, it appears that having the Sewer Project constructed in conjunction with the Project is cost-effective and mutually beneficial to the City and the Washington Military Department; and WHEREAS, the Washington Military Department is willing to construct the Sewer Project in accordance with the terms and conditions of the attached agreement; and WHEREAS, it is appropriate to provide funding to the Washington Military Department and the contractor for the construction of the Sewer Project in accordance with terms and conditions of this Agreement; and WHEREAS, the City Council deems it to be in the best interest of the City of Yakima to contract with the Washington Military Department for construction of the Sewer Project in accordance with the terms and conditions of the attached Sanitary Sewer Improvements and Funding Agreement, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager of the City of Yakima is hereby authorized and directed to execute the attached and incorporated "Sanitary Sewer Improvements and Funding Agreement" with the Washington Military Department for the construction of a sewer line in the vicinity of South 10th Avenue and Pioneer Lane, Yakima County, Washington. ATTEST: John Puccinelli, Mayor Contract No. 162,6-6 iti J� l C'' l G City Clerk 99-07 • SANITARY SEWER IMPROVEMENTS AND FUNDING AGREEMENT THIS SANITARY SEWER IMPROVEMENTS AND FUNDING AGREEMENT (hereinafter "Agreement") is made and entered into by and between the City of Yakima, a Washington municipal corporation (hereinafter the "City"), and the Washington Military Department, an agency of the State of Washington (hereinafter the Military Department). WHEREAS, the Military Department intends to construct utility improvements as part of a construction project known as "Yakima Armory and Readiness Center" (hereinafter the "Project"). WHEREAS, in accordance with state law, the Military Department has let the Project out for bid and has awarded the construction of the Project to Central Concrete and Utilities (hereinafter the "Contractor"). WHEREAS, the City desires to have a sewer line constructed (hereafter the "Sewer Project") at a certain location within the limits of the Project, which location is more fully described on attached and incorporated Exhibit "A". WHEREAS, the Military Department and the City agree that having the Sewer Project constructed in conjunction with the Project is cost-effective and mutually beneficial. WHEREAS, the City has determined that it is appropriate to provide funding to the Military Department and to the contractor for the construction of the Sewer Project in accordance with the terms and conditions of this Agreement. NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements set forth herein, it is agreed by and between the City and the Military Department as follows: 1. Scope of Services and Consideration. a. The City shall: i. Provide the necessary design, details, specifications, and estimate for the Sewer Project. ii. Review and approve all "source of materials" submittals regarding the Sewer Project. iii. Provide all necessary on-site inspection for the construction of the Sewer Project, including but not limited to material testing of trench excavation, trench backfilling, and pavement repair. iv. Within thirty (30) calendar days of receipt of the written report from the Military Department as specified in Section (1)(b)(iii) of this Agreement, the City shall pay the Military Department for all costs reasonably incurred by the Military Department that are directly related to the construction of the Sewer Project. These costs shall include reimbursement of the Military Department for labor costs for time reasonably spent by Military Department personnel on the Sewer Project. Within thirty (30) calendar days of receipt of the written report from the Military Department as specified in Section (1)(b)(iv) of this Agreement, the City shall pay the amount identified directly to the contractor for work on the Sewer Project. b. The Military Department shall: i. Incorporate the City's Sewer Project design, details, and specifications into the Project. The Sewer Project construction bid items shall be listed under a separate pay schedule within the contract documents of the Project. ii. Provide copies of all "source of materials" submittals for the Sewer Project to the City Engineer for his review and approval before use of the materials on the Sewer Project. iii. Following completion of the Sewer Project, provide a written report to the City of the costs reasonably incurred by the Military Department that are directly related to the construction of the Sewer Project. These costs shall include reimbursement of the Military Department for labor costs for time reasonably spent by Military Department personnel on the Sewer Project. iv. Following completion of the Sewer Project, provide a written report to the City of the costs owed to the contractor as identified in Section (1)(b)(i) for construction of the Sewer Project. 2. Term. The term of this Agreement shall commence upon execution hereof and shall terminate upon payment for satisfactory completion of the Sewer Project, unless sooner terminated by either party in accordance with Section 3 of this Agreement. 3. Termination. The City or the Military Department may terminate this Agreement, with or without cause, by giving the other party ten (10) days prior written notice of termination. In the event that the City terminates this Agreement, the City shall pay the Military Department for all work and services on the Sewer Project through the termination date of the Agreement. 4. Nondiscrimination Provision. During the performance of this Agreement, the City and the Military Department shall not discriminate on the basis of race, age, color, sex, religion, national origin, creed, marital status, political affiliation, or the presence of any sensory, mental or physical handicap. This provision shall include but not be limited to the following: employment, upgrading, demotion, transfer, recruitment, advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training. 5. Compliance With Law. The Military Department represents that the Sewer Project shall be constructed in full compliance with any and all applicable laws, rules, and regulations adopted or promulgated by any governmental agency or regulatory body, whether federal, state, local, or otherwise. 6. Indemnification and Hold Harmless. a. The City agrees to protect, defend, indemnify, and hold harmless the Military Department, its officials, officers, employees and agents from any and all claims, demands, Page 2 of 4 Ok).gr-w.ddngtc. sire-sewerimr.v-rm losses, liens, liabilities, penalties, fines, lawsuits, and other proceedings and all judgments, awards, costs and expenses (including attorneys' fees and disbursements) caused by or occurring by reason of any negligent act and/or negligent omission of the City, its elected officials, officers, employees, and/or agents arising out of or in connection with the performance of this Agreement. b. In the event that both the Military Department and the City are negligent, the City's liability for indemnification of the City shall be limited to the contributory negligence for any resulting suits, actions, claims, liability, damages, judgments, costs and expenses (including reasonable attorney's fees) that can be apportioned to the Engineer, its officers, employees, and/or agents. c. Nothing contained in this Section or this Agreement shall be construed to create a liability or a right of indemnification in any third party. 7. Non -Waiver. The failure of the City or the Military Department to insist upon strict performance of any provision of this Agreement or to exercise any right based upon a breach thereof or the acceptance of any performance during such breach shall not constitute a waiver of any right under this Agreement. 8. Severability. If any portion of this Agreement is changed per mutual agreement or any portion is held invalid, the remainder of the Agreement shall remain in full force and effect. 9. Integration. This written document constitutes the entire agreement between the City and the Military Department regarding the Sewer Project. There are no other oral or written Agreements between the parties as to the subjects covered herein. No changes or additions to this Agreement shall be valid or binding upon either party unless such change or addition be in writing and executed by both parties. 10. Notices. Notices and/or demands shall be sent by registered or certified mail, postage prepaid, or hand -delivered. Such notices shall be deemed effective when mailed or hand -delivered at the addresses specified above. 11. Governing Law. The venue for any action to enforce or interpret this Agreement shall lie in the Superior Court of Washington for Yakima County, Washington. This work would be in conjunction with an existing Washington Military Department utility project. It is considered prudent to do this work at this time, in order to prevent the future disruption of Wide Hollow Creek. This section of pipe will be required when Yakima installs their own new pipeline in this area to serve increased demand South and West of the Airport. The Yakima Wastewater Division has tentatively agreed, subject to Council approval, to pay for the construction of these improvements from the 476 Fund. The estimated cost of $100,000 is in the adopted 1998 budget. PLSA Engineering has prepared the necessary Design and Specifications for the anticipated construction. The City has prepared a Sanitary Sewer Improvements and Funding Agreement setting out the responsibilities, conditions, and methods of payment by the City of Yakima for the anticipated construction. Upon execution of this agreement, the Washington Military Department will include the Sanitary Sewer Improvements in their project. This project has already gone to bid and is under construction.
