R-2025-101 A RESOLUTION authorizing the City Manager to extend and amend the City's current contract with CWA, Inc. for Yakima -Ellensburg Commuter Services. WHEREAS, the City of yakima received grant funding from the Washington State Department of Transportation (WSDOT) and partnership funds from the City of Selah, City of Ellensburg and Central Washington University for the Yakima -Ellensburg Commuter Services; and WHEREAS, the City of Yakima currently has contract No. 2023-124 with CWA to provide Yakima -Ellensburg Commuter Services; and WHEREAS, both the City of Yakima and CWA have agreed to exercise the option to renew the existing contract for another two-year term from July 1, 2025, through June 30, 2027, per City Contract No. 2023-124 with an amendment to Exhibit B, compensation; and WHEREAS, the compensation for the first year of the new two-year term, from July 1, 2025, through June 30, 2026, will have a 3% increase taking the hourly rate from $159.86 to $164.65; and WHEREAS, the new rate was negotiated with the Contractor and a cost/price analysis was completed to determine that the rate was fair and reasonable; and WHEREAS, the compensation for the second year or the two-year term, from July 1, 2026, through June 30, 2027, will be negotiated after January 1, 2026, and before July 1, 2026; and WHEREAS, the Termination for Convenience provision found in Section 30, of the original agreement shall be amended to only require 30 days written notice to the other Party if a Party seeks to terminate the agreement for convenience as outlined in that section, WHEREAS, the Scope of Work and available budget meet the needs and requirements of the City of Yakima for this service, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager is hereby authorized to execute a two-year contract extension to CWA Inc., and a contract amendment in the estimated amount of eight hundred thirty-seven thousand, four hundred thirty-nine dollars ($837,439) for the first year of the two-year extension attached hereto and incorporated herein by this reference to provide Yakima -Ellensburg Commuter Services as described in the Agreement. This agreement shall be effective upon the date of fast signature. WHEREAS, the parties have agreed to exercise the option to renew the existing contract for another two-year term per the original agreement with an adjustment to the terms of compensation, therefore, In consideration of the promises contained herein, the Parties agree as follows: 1. Notwithstanding the terms of the original agreement, it shall now expire at 11:59 p.m. on June 30, 2027, without any further notice required by either party unless either party expresses their intent to extend the original contract for the final two-year term as outlined in City Contract 2023-124. 2. During the first year of the two-year period of extension, from July 1, 2025 — June 30, 2026, the compensation will increase by 3% from the original agreement of $159.86 per hour to $164.65 per hour. 3. The compensation for the second year of the two-year term will be negotiated after January 1, 2026, and before July 1, 2026, for the following year of July 1, 2026, through June 30, 2027. 4, The Termination for Convenience provisions found in Section 30 of the original agreement shall be amended to only require 30 days written notice to the other PARTY if a PARTY seeks to terminate the agreement for convenience as outlined in that Section. 5. CWA, Inc, for commuter bus services between the cities of Yakima, WA, and Ellensburg, WA.. This service runs Monday through Friday with seven round trips per day during the season and six round trips per day during the off-season. The term ofthis contract is a two-year term with the option of two additional two-year terms based off the grant cycle.
