YKM Taxiway Project YAKIMA DOWNTOWN DEVELOPMENT AND PROMOTION AGREEMENT By and Between CITY OF YAKIMA And DOWNTOWN ASSOCIATION OF YAKIMA This YAKIMA DOWNTOWN DEVELOPMENT AND PROMOTION AGREEMENT (hereinafter the "Agreement") is executed by and between the City of Yakima, Washington, a municipal corporation (hereinafter the "City") and Downtown Association of Yakima, a Washington nonprofit corporation (hereinafter the "Association"). I. Recitals A. The City has a deep and abiding interest in the maintenance, beautification and preservation of the City's DewRtewn downtown Oere.area. B. The City has expended significant resources toward the improvement of the sidewalks and general appearance of the City's downtown areas through the installation of sidewalks, street lighting, aesthetic improvements and planting displays. C. The City desires to contract with the Association for the development and promotion of economic development, beautification, tourism and recreational activities, opportunities and programs within the City. D. In accordance with RCW 82.73 that governs the Main Street Program, the City will be eligible to receive a credit on its 2016 Public Utility Tax liability of up to 75% of the total paid to the Association in 2016, capped at $100,000.00. E. The Association is a nonprofit corporation with charitable tax exempt status under Internal Revenue Code §501(c)(6) whose primary purpose is to promote economic development, educational and charitable opportunities within the City, and to administer a Main Street Program benefitting residents of the City and the City's downtown area. F. The parties agree that Association will administer the funds and activities described below to promote economic development, downtown beautification, recreational activities and tourism within the City in accordance with the terms and conditions of this Agreement. II. Agreement 1 WHEREFORE, in consideration of the mutual covenants, promises and conditions set forth herein, the City and the Association agree as follows: 1. Payment of Funds by City. In compensation for the services provided by the Association under this Agreement, the City shall pay the Association an Administration Fee. The amount of the Administration Fee shall be (a) up to $4999:0023,813.08 to acquire flowers and related materials to perform and administer the City's downtown street flower basket program for year 2016; and (b) subject to the contingency stated below, up to Oris --1= nGIPPCI T#s--DGO , s «4 00,99 04)0) $71,439.25 for performance and administration of the programs described in Section 3 below. The total compensation provided to the Association is $95,252.33. -S" - w -MM". Upon approval of this Agreement, the City shall remit and pay to Association amounts necessary to perform and administer the downtown street flower basket program, up to $40,00023,813.08 for year 2016. The Association shall make written requests for payments from the-$40,009this money, supported by copies of invoices and/or purchase orders as deemed necessary or appropriate by the City. When the Gity is deemed eligible tG FeGeive taX GFedits PUFSUaRt tG the Main StFeet Tax Uupon City's approval of a specific Action Plan submitted by Association detailing Association's scope of work and proposed budget for such work, as set forth below in Section 4, the City will remit payment of up to $71,439.25. Payment may be in equal monthly or quarterly installments, supported by copies of invoices, purchase orders and/or descriptions of services performed as deemed necessary or appropriate by City, or in lump sum conditioned upon Association's performance of the City -approved Action Plan. In the event Association incurs any fiscal obligation within the scope of services of this Agreement that requires payment of more than the monthly allocation, Association may make a request for payment of such additional amount. If such additional payment is approved by the City's Director of Budget and Finance, the funds remaining from the original appropriation shall be disbursed in equal monthly payments to Association. In the event that the Agreement is terminated prior to expiration of the one-year term of this Agreement, the Association shall be compensated on a pro -rata basis for work performed through the termination date. 2. Term of Agreement. This Agreement shall commence januaFy 1, 2016 following full execution by the parties and shall terminate at midnight, December 31, 2016. 3. Scope of Services. The Association shall use the funds received from the City to promote beautification of the City's downtown, economic development opportunities within the City's downtown; to promote the availability of recreational activities and opportunities within the City's downtown; to promote tourism within the City's downtown; and to provide for the administration of such activities. The "promotion of economic development, recreation and tourism" means and includes activities and expenditures designed to increase tourism, recreational use and economic development, including but not limited to advertising, publicizing, or otherwise distributing information for the purpose of attracting and welcoming tourists, promoting recreational opportunities and major sporting and entertainment events within the City's downtown, cooperating with tourism destination marketing organizations and other persons, organizations and public or private agencies promoting economic development opportunities within downtown Yakima. Such funds may also be used to defray Association's costs incurred from managing such and administering such activities. By way of illustration, the programs and services to be provided by the Association and included in the Association's Action Plan as set forth in Section 4 below may include the following: • Upgrades to Downtownyakima.com or successor Association web sites • 6hFiss-Holiday promotions including producing the Light Up the Plaza event, free carriage rides, merchants open houses and advertising; • Development and publishing of new downtown promotional brochures and pocket calendar guides., • New events and programming created by DAY gFOupthe Association: • Year-round downtown promotional media campaign • New ChFostmas holiday decorations — a phase out of the 30 year old downtown Ghfistmas-holiday decorations.- • Fagade Grant Program to provide assistance to local property owners by offering a 50/50 grant match program for renovations to the facades of their buildings • Light Up the Alley's — a program to provide light and safety to our downtown alley ways creating lighted walking pathways through our downtown Gore area; • Training and travel fees for Washington State Main Street program annual conference and quarterly meetings: and • Discretionary budget for Main Street fewcommittee work plan implementation. 3 4. Association's Action Plan and Proposed Budget. The Association shall prepare and provide to City a written Action Plan and proposed budget on or before April 1, 2016 listing and describing the Association's plans, programs and timelines to provide the services described in Section 3 above. Association will consult with City in the preparation of such Action Plan, and City reserves the right to require modifications of such Action Plan if the City determines that such modifications are reasonably necessary to accomplish the purposes of this Agreement. 5. Termination of Agreement. This Agreement may be terminated by either party for any reason upon thirty (30) calendar days' advance written notice to the other party. Upon the effective date of termination, City shall have no further obligation to pay any remaining funds to Association except for those funds necessary to defray costs of any contracts with third parties entered into by Association for the sole benefit of City as set forth in the Action Plan. Notwithstanding the above, upon termination of this Agreement by City pursuant to this Section 5, Association shall use best efforts to terminate any contract for the sole benefit of City entered into by Association for the sole benefit of City unless otherwise directed in writing by City. 6. Property and Equipment. The parties do not intend to purchase property aAd or equipment with the proceeds paid to Association pursuant to this Agreement. Unless otherwise agreed, any property armor equipment purchased by Association with funds arising from this Agreement shall FeFnain become the property of AasesiatianCity upon termination. 7. Records and Accounts. The Association shall maintain (in accordance with generally accepted accounting practices) books, accounts, records, documents and other materials related directly or indirectly to the costs, expenses, and expenditures incurred and/or made pursuant to this Agreement. All such books, accounts, records, documents and other materials shall be subject to inspection and audit at reasonable times by representatives of the City of Yakima and/or of the Washington State Auditor. The Association shall make such books, accounts, records, documents and other materials available and afford the proper facilities for such inspection and/or audit within forty-eight (48) hours of inspection/audit notification from any of said local and/or state government representatives. Said books, accounts, records, documents and other materials may be copied by said local and/or state government representatives as part of such an inspection/audit. The Association shall preserve and make available all books, accounts, records, documents and other materials for a period of at least three (3) years after termination of Agreement. -Copies of all records associated with this Agreement shall be forwarded to the City upon termination. 4 8. Insurance. It is understood the City does not maintain liability insurance for the Association and/or its officers, employees, agents and/or subcontractors. 9. Hold Harmless. a. The Association agrees to protect, defend, indemnify, and hold harmless the City and its officers, elected officials, employees and agents from any and all claims, demands, losses, liens, liabilities, penalties, fines, lawsuits, and other proceedings and all judgments, awards, costs and expenses (including attorneys' fees and disbursements) caused by or occurring by reason of any negligent act and/or omission of the Association, its officers, employees, agents, and/or subcontractors, arising out of or in connection with duties, obligations, and services required of the Association under this Agreement. b. In the event that both the Association and the City are negligent, the Association's liability for indemnification of the City shall be limited to the contributory negligence for any resulting suits, actions, claims, liabilities, damages, judgments, costs and expenses (including reasonable attorneys' fees) that can be apportioned to the Association, its officers, employees, agents and/or subcontractors. C. Nothing contained in this Section or this Agreement shall be construed to vest a right of defense and/or indemnification in any third party. d. The provisions of this Section or this Agreement shall survive the termination or expiration of this Agreement. 10. Independent Contractor. In performing this Agreement, the Association is an independent contractor, not subject to control or direction from the City except for such oversight as is herein described and set forth by City ordinance. The Association expressly represents, warrants and agrees that its status as an independent contractor in the performance of the work and services required under this Agreement is consistent with and meets the six -part independent contractor test set forth in RCW 51.08.195. The Association and its officers, employees, agents, subcontractors and volunteers shall make no claim of City employment nor shall claim against the City any related employment benefits, social security and/or retirement benefits. 11. Taxes and Assessments. The Association shall be solely responsible for compensating its officers, employees, agents and/or subcontractors and for paying all related taxes, deductions and assessments, including but not limited to federal income tax, FICA, social security tax, assessments for unemployment and industrial injury, and 5 other deductions from income which may be required by law or assessed against either party as a result of this Agreement. In the event the City is assessed a tax or assessment as a result of or in connection with the duties, obligations and services required of the Association under this Agreement, the Association shall pay the same before it becomes due. 12. Nondiscrimination. During the performance of this Agreement, the Association shall not discriminate on the basis of age, sex, race, creed, religion, color, national origin, marital status, disability, honorably discharged veteran or military status, pregnancy, sexual orientation, armor any other classification protected under federal, state, or local law. This provision shall include but not be limited to the following: employment, upgrading, demotion, transfer, recruitment, advertising, layoff or termination, rates of pay or other forms of compensation, selection for training, and the provision of services under this Agreement. Association agrees to comply with the applicable provisions of State and Federal Equal Employment Opportunity and Nondiscrimination statutes and regulations. 13. The Americans with Disabilities Act. The Association shall comply with the Americans with Disabilities Act of 1990, 42 U.S.0 §§ 12101 et seq.("ADA") and its implementing regulations and Washington state's anti -discrimination law as set forth in Chapter 49.60 RCW ("WLAD") and its implementing regulations, with regard to the provision of services under this Agreement. The ADA and the WLAD provide comprehensive civil rights to individuals with disabilities in the area of employment, public accommodations, public transportation, state and local government services and telecommunications. 14. Compliance with Law. The Association shall provide all services under this Agreement in full compliance with any and all applicable laws, rules and regulations adopted or promulgated by any governmental agency or regulatory body, whether federal, state, local or otherwise. 15. Assignment. This Agreement, or any interest therein, or claim hereunder, shall not be assigned or transferred in whole or in part by the Association to any other person or entity without the prior written consent of the City. In the event that such prior written consent to an assignment is granted, then the assignee shall assume all duties, obligations and liabilities of the Association as stated herein. 16. Severabilitv. a. If a court of competent jurisdiction holds any part, term or provision of this Agreement to be illegal or invalid in whole or in part, the validity of the remaining provisions shall not be affected, and the parties' rights and 2 obligations shall be construed and enforced as if the Agreement did not contain the particular provision held to be invalid. b. If any provision of this Agreement is in direct conflict with any statutory provision of the State of Washington, that provision which may conflict shall be deemed inoperative and null and void insofar as it may conflict and shall be deemed modified to conform to such statutory provision. C. Should either party determine that the severed portions substantially alter this Agreement so that the original intent and purpose of the Agreement no longer exists, said party may, in its sole discretion, terminate this Agreement upon thirty (30) calendar days' advance written notice to the other party. 17. Non -waiver. A waiver by either party hereto of a breach by the other party hereto of any covenant or condition of this Agreement shall not impair the right of the other party not in default to avail itself of any subsequent breach thereof. Leniency, delay or failure of either party to insist upon strict performance of any agreement, covenant or condition of this Agreement, or to exercise any right herein given in any one or more instances, shall not be construed as a waiver or relinquishment of any such agreement, covenant, condition or right. 18. Notices. Unless stated otherwise herein, all notices and demands shall be in writing and sent or hand -delivered to the parties at their respective addresses as follows: To the City: Jeff Cutter, Interim City Manager City of Yakima 129 North 2nd Street Yakima, Washington 98901 To the Association: John Baule, Registered Agent Downtown Association of Yakima P.O. Notices and/or demands shall be sent by registered or certified mail, postage prepaid or hand -delivered. Such notices shall be deemed effective when mailed or hand -delivered at the addresses specified above. 19. Survival. Any provision of this Agreement which imposes an obligation after termination or expiration of this Agreement, including, but not limited to, the Hold Harmless provisions, shall survive the term or expiration of this Agreement and shall be binding on the parties to this Agreement. 20. Integration and Supersession. This Agreement sets forth all of the terms, conditions, and agreements of the parties relative to the subject matter hereof and supersedes any and all such former agreements or oral representations, which are hereby declared terminated and of no further force and effect upon the execution and delivery hereof. There are no terms, conditions, or agreements with respect thereto except as herein provided, and no amendment or modification of this Agreement shall be effective unless reduced to writing and executed by the parties. 21. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. 22. Venue. The venue for any action to enforce or interpret this Agreement shall lie in the Superior Court of Washington for Yakima County, Washington. 23. Dispute Resolution. The parties shall strive to resolve any dispute that may arise through mutual cooperation and negotiation in good faith. If the dispute is not resolved through negotiation, the parties may consider mediation or other form of dispute resolution but only where mutually agreed to in writing. SCOPE OF SERVICES The City desires to continue utilizing services provided by YCDA. The City recognizes that, because of the nature of a private economy, YCDA shall provide economic development programming for the entire Yakima County area and not exclusively for the City of Yakima area. The City understands that it will receive economic development benefits from YCDA's efforts within Yakima County because the City is an economic focal point within the County. Such benefits to the City include a more diversified economic base, additional employment opportunities and greater prosperity. The economic development program shall consist of an annual program of work drafted by the YCDA Board of Directors. YCDA shall maintain a professional staff to carry out an economic development program in Yakima County. During the term of this Contract, YCDA will dedicate its best efforts to carry out such program. As additional consideration, beyond its general mission of economic development in Yakima County, YCDA shall dedicate its professional and support staff to specific objectives to be mutually updated and agreed on an annual basis. As objectives for the 2009 calendar year YCDA shall: A. Market the City of Yakima and Yakima County as a location for new business investment. Maintain accurate information about the City's costs and opportunities as they relate to new business development. Maintain confidentiality for business clients evaluating sites or facilities within the region. B. Work cooperatively with developers, realtors, land owners and other parties within the Yakima area to maintain up-to-date information about sites and facilities that can meet the needs of new or existing businesses. C. Conduct yearly visits with Yakima -based manufacturers as part of YCDA's business retention efforts. Provide appropriate follow-up assistance to local businesses based on needs identified during the survey interviews. D. Provide the City of Yakima with a yearly report on the status of YCDA efforts and accomplishments as well as local economic trends and issues. E. Support the City's efforts to prepare commercial and industrial sites and facilities through grant applications to local, state or federal infrastructure financing programs. F. Advise the City, when requested, regarding commercial or industrial sector needs relative to the preparation of land use designation and urban development policies. G. Advise the City, when requested, on ways to mitigate development impacts from proposed manufacturing or commercial expansion projects. H. Advise the City, when requested, regarding public service planning for commercial and light industrial areas, including comments on streets, water, sewer, and other public facilities. II. DURATION OF CONTRACT This Contract shall commence on January 1, 2014 and shall terminate on December 31, 2014, but may be renewed annually through December 31, 2018, subject to performance review and evaluation conducted by the City during the yearly budget review process. III. COMPENSATION, METHOD OF PAYMENT, REPORTING YCDA shall receive payment for services as specified in this Contract in the total amount of One Hundred and Sixty Five Thousand Dollars ($165,000), which amount shall be paid to YCDA in two equal installments of Sixteen Thousand Five Hundred Dollars ($16,500), with one installment due on January 30, 2014, and one installment due on July 15, 2014. In the following years, payment shall be made to YCDA in two equal installments in January and July of each respective year. Said compensation and payments are expressly conditioned upon and subject to receiving authorization and approval during the City's yearly budget process. YCDA shall provide monthly update reports and an annual report, which will be delivered by March 31 st of the next year. Such reports shall contain a description of current initiative and accomplishments under the applicable scope of services provision of the Contract. Each annual report shall indicate the amount of new investment, retention of investment, and new jobs within Yakima County which affect economic development of the City. IV. INTERNAL CONTROL AND ACCOUNTING SYSTEM YCDA shall establish and maintain a system of accounting and internal controls which complies with applicable, generally accepted accounting principles, and government accounting and financial reporting standards. V. ESTABLISHMENT AND MAINTENANCE OF RECORDS YCDA shall maintain accounts and records, including personnel, property, financial, and program records, and such other records as the City may deem necessary, to ensure proper accounting for all project funds and compliance with this Contract. VI. AUDITS AND INSPECTIONS A. Records and documents pertaining to all matters covered by this Contract shall be subject at all times to inspections, review, or audit by the City and/or federal/state officials so authorized, including but not limited to, the Washington State Examiner. B. YCDA shall have its annual financial statement audited by an independent certified public accountant. Copies of any such audit or review performed by an in- dependent certified public accountant shall be provided to the City upon request. C. YCDA shall provide access of facilities to the City, the state and/or federal agencies or officials at reasonable times to monitor and evaluate the services provided under the Contract. The City will give advance notice to YCDA in the case of fiscal audits to be conducted by the City. VII. REVIEW AND EVALUATION YCDA agrees to cooperate with the City or its agent in the City's annual review and evaluation of YCDA's performance under this Contract and to make available all information reasonably required by any such evaluation process. VIII. TERMINATION This Contract may be terminated without cause prior to the date specified above in Section II, by either party providing the other party thirty (30) days written notice of the termination. In the event of termination, the amount of compensation shall be prorated monthly to the nearest full month of service. IX. INSURANCE AND INDEMNIFICATION YCDA shall procure and maintain at its own expense for the duration of this Contract insurance against injury to persons or damage to property or rights which may arise from, or in connection with the performance of work hereunder by YCDA, its agents, representatives, employees. YCDA shall defend, indemnify, and hold the City of Yakima, its officers, employees, and agents, harmless from any and all liability arising out of the performance of this Contract. X. NONDISCRIMINATION During the performance of this Contract, YCDA shall not discriminate on the basis of race, color, sex, religion, nationality, creed, sexual orientation, marital status, age, or the presence of any sensory, mental or physical handicap in employment or application for employment or in the administration or delivery of services or any other benefits under this Contract. XI. CONFLICT OF INTEREST YCDA covenants that no officer, employee or agent of the City who exercises any functions or responsibilities in connection with the planning and implementation of the program funded herein, or any other person who presently exercises any functions or responsibilities in connection with the planning and implementation of the program funded herein shall have any personal financial interest, direct or indirect, in this Contract. None of the funds, materials, property or services provided directly or indirectly under this Contract shall be used for any partisan political activity or to further the election or defeat of any candidate for public office. XII. NOTICES Whenever this Contract provides for notice to be provided by one party or another, such notices shall be in writing and directed to the chief executive officer of YCDA, P.O. Box 1387, Yakima, WA, 98907, or the City Manager for Yakima, 129 North 2nd Street, Yakima, Washington, 98901. Any time within which a party must take some action shall be computed from the date that the notice is received by said party. III. CHANGES Either party may request changes to this Contract. Proposed changes, which are mutually agreed upon, shall be incorporated by written amendments to this Contract. XIV. PROHIBITED ACTS YCDA shall use all consideration provided under this Contract solely to pay for labor, equipment, materials, and overhead in its operations. It shall not use such consid- eration as loans, grants, or gifts to public or private entities for any purpose whatsoever nor shall such consideration be used for the purpose of promotional hosting. Violation of the provision of this section shall be cause of immediate termination of this Contract and YCDA shall repay to the City any funds transferred in violation of this section. XV. WHOLE AGREEMENT This Contract constitutes the whole and entire agreement between the parties. XVI. ASSIGNMENT YCDA shall not assign any of its duties under this Contract without the prior written consent of the City. XVII. SEVERABILITY In the event any portion of this Contract is found to be invalid, it is the intent of the parties to enforce the remainder of the Contract. The City would have to supply at least a 25% cash match ($12,500) which would create a $62,500 budget for planning services. The CERB board meets bi-monthly and considers planning grant requests at their meeting. Field Trips A public market / business incubator is by no means a new concept to Washington or Oregon. We have numerous models within a few hours drive with staff that are willing to give us tours and recommendations as we begin investigating an operating method for Yakima. I recommend the City sponsoring two field trips for interested Council members and citizens: 1) Trip to Dayton, Washington's Blue Mountain Station and Pasco's Specialty Kitchen 2) Trip to Portland, Oregon to visit the Portland Mercado and PDX Makers Space Funding Sources 1) Economic Development Administration (EDA) — Economic Development Assistance Program. This program makes awards of up to $3,000,000 for project that can assist in business and community development in rural communities. The City of Yakima would be an eligible applicant for funds. This program looks to reuse non performing community assets (think vacant buildings) for economic purposes and the building must be publicly owned. This program has a history of funding hard costs for project including equipment and would an excellent source to fund the commercial kitchen portion of the project. Funding program example — EDA funded the Portland Mercado in NW Portland (www.portiandmercado.org). The Portland Mercado uses an incubator model to provide affordable retail space for businesses to launch and grow, and is a hub for Latino culture in Portland. 15-20 new businesses have opened in an area of Portland seeking healthy and delicious food options. Page 1 of 3 EDA also funding the Pasco Specialty Kitchen (www.downtownpasco.com/psk/) in Downtown Pasco, Washington. The Pasco Specialty Kitchen (PSK) is a state-of-the-art certified commercial kitchen for local entrepreneurs that is open 24/7 365 days a year. Entrepreneurs pay an hourly rate to use the kitchen. Many of the kitchen users also sells their products at the nearby Pasco Farmers Market which is housed in a market hall nearby. 2) Washington State Department of Commerce — CERB (Community Economic Revitalization Board) Prospective Development Construction Program — CERB likes fund projects with evidence from an economic feasibility study that the project will lead to the creation of a significant number of permanent jobs. CERB will not fund retail related projects so the market portion of the project would not be eligible. However, they do fund land or building acquisition and construction of public buildings. The CERB grant can be up to $2,000,000 with a local cash match equal to the grant. Funding program example — CERB funded the construction of Dayton, Washington's Blue Mountain Station Artisan Food Center. The Artisan Food Center is the first building in a new food processing park called Blue Mountain Station located in the historic town of Dayton, Washington. The Artisan Food Center is a 6,912 square foot building that houses 5 food processing spaces, a commercial kitchen, a small retail area, and a public restroom under one roof. 3) Yakima County / New Vision — SIED Program (Supporting Investments in Economic Diversification). Yakima County's SIED Program is an excellent local resource to assist in leveraging the two grant programs listed above. Principal four of the SIED Program's Investment Policy looks very favorable on using their funds as leverage for federal and state dollars. 4) Section 108 Loan from HUD — The City has a $1.1 million loan guarantee that could be used for construction of this project. While this is a loan that must be repaid, a number of projects in Washington State are being repaid from the City's annual Community Development Block Grant (CDBG) funds over the course of a 20 year period. Interest rates are around 3% for Section 108 pay back. The City currently receives $800,000 per year in CDBG funds. 5) New Market Tax Credits - The New Markets Tax Credit (NMTC) were designed in 2000 to increase the flow of capital to businesses and low income communities by providing a modest tax incentive to private investors. The NMTC program attracts capital to low income communities by providing private investors with a federal tax credit for investments made in businesses or economic development projects located in some of the most distressed communities in the nation — census tracts where the individual poverty rate is at least 20 percent or where median family income does not exceed 80 percent of the area median. The National Development Council, who has worked with the City in the past, estimates that 20-25% of the total project cost could come from the NMTC program. Page 2 of 3 6) "Sales Tax & B&O Tax TIF" District — Tax Increment Financing is not allowed by Washington cities as defined by Washington State's constitution. However using the "stadium" funding model where taxes generated by are used to retire debt on a project is a model that we could consider for this project. However, I would not recommend tying the sales or B&O taxes to paying off any debt on this project. I would recommend using them to support operating of the facility or perhaps creating an emergency account for repairs and updates to the building. With retail sales estimated at $4-6 million a year, this a rainy day fund could be replenished with $35-50 thousand a year from this method on sales tax alone. R -2016- A RESOLUTION declaring the property located at 5511 Summitview Avenue, Yakima, Washington, 98908 to be surplus to the uses and needs of the City of Yakima, and authorizing disposition of such parcel. WHEREAS, in February 2014, the City of Yakima (City) purchased the subject property, 5511 Summitview Avenue ("Subject Property"), along with three other properties from the Tiger Oil Corporation for the public purpose of environmental remediation and site clean-up; and WHEREAS, on September 16, 2014, the City received from the Department of Ecology a Notice of Potential Liability under the Model Toxic Control Act which named the City, as property owner, to be liable for the release or hazardous substances under RCW 70.105D.040; and WHEREAS, the City acknowledged the potential liability and that it was a potentially liable person to accommodate clean-up efforts at this site and in light of the cooperative clean- up efforts at other Tiger Oil sites purchased by the City needing clean-up and remediation; and WHEREAS, the City has taken DOE approved action to clean up and remediate the site, and is awaiting a final No Further Action letter; and WHEREAS, the City Council finds and determines that the subject property is surplus to the uses and needs of the City of Yakima, and that a declaration of surplus and authorization for disposition of the property at 5511 Summitview Avenue, Yakima, Washington 98908, are in the best interests of the residents of the City of Yakima, and will promote the public health, safety and welfare; therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: Section 1. WHEREAS, the City of Yakima ("City") purchased the property at 5511 Summitview Avenue, Yakima, Washington, 98908 ("Subject Property") in February of 2014, along with several other Tiger Oil Corporation sites in the City for a total amount of $744,724.00; and WHEREAS, the City has worked diligently with the Department of Ecology ("DOE") to finalize site clean-up and remediation as required by DOE; and WHEREAS, the City Council declared the Subject Property surplus on April 5, 2016; and WHEREAS, the City Council has reviewed the Purchase and Sale Agreement and finds that the purchase price of $550,000.00 exceeds the fair market value, and the Agreement meets all the other conditions outlined in the resolution authorizing surplus; and WHEREAS, the City Council finds and determines that authorizing the City Manager to enter into the Purchase and Sale Agreement for in the best interests of the residents of the City of Yakima and will promote the general health, safety and welfare, now, therefore BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager is authorized to sign and enter into a Purchase and Sale Agreement between the City of Yakima and Vegabond Properties, LLC to sell the property commonly known as 5511 Summitview Avenue, Yakima, Washington, 98908 pursuant to the terms and conditions listed in the Agreement, Exhibit 1," attached hereto and fully incorporated herein.
