HomeMy WebLinkAboutQwest - Clear Channel - Phone Service Agreement 22 /40.4:9 • RIGHT OF WAY LEASE KNOW ALL MEN BY THESE PRESENTS: WHEREAS, the Yakima Air. Terminal Board, an agency of the city of Yakima and county of Yakima (hereinafter "Airport ") is owner of cer- tain land within Yakima County, Washington, located in Section 35, Township 13 North, Range 18 E.W.M., as more particularly described on attached Exhibits A, B and C incorporated herein and made a part hereof by this reference; and WHEREAS, Pacific Northwest Bell Telephone Company, a Washington corporation, its successors and assigns (hereinafter "PNB ") is desirous of installing and maintaining underground communication lines and above ground cabinets; NOW, THEREFORE, in consideration of the mutual covenants herein contained, the parties agree as follows: 1. Airport hereby leases and grants unto PNB, with the right, privilege and authority to place, construct, maintain, inspect, recon- struct, repair, replace, remove and keep obstacles clear from PNB's facilities consisting of underground communication lines and above ground cabinets and other appurtenances as PNB may from time to time require over, across, upon and under the property described on Exhibits A, B, and C attached hereto and incorporated herein by this reference as if fully set forth,. within Section 35, Township 13 North, Range 18 E.; +7.M., Yakima County, Washington (the "Property ") being a six foot wide easement plus a 12' x 12' easement for location of above ground cabinets for electronic equipment, plus a strip approximately 4 1/2' x 12' connecting the six foot underground line easement to the 12' x 12' . cabinet location, all for purposes of locating and maintaining said underground line and electronic cabinets, and no other purpose. 2. PNB shall at all times have the right to full and free ingress and egress to and from such property described above, with PNB to be solely responsible for all damages caused to the Airport arising from PNB's exercise of the rights and privileges herein granted, including the responsibility to restore the surface of the easement to the state existing immediately prior to any excavation or other use of the leased property. 3. The Airport shall be entitled to use the property for any and all purposes so long as not inconsistent with nor an inter- ference with the rights granted PNI3 herein. 4. PNB shall pay to the Airport the sum of One n. Hu ed Dollars ($100.00) for each twelve months of the lease ter and any extension thereof, said sum to be payable for the first 60 months, in advance, upon execution of this lease. Provided, that for each successive 60 month period beyond the first 60 months hereof, the rent reserve shall be increased based upon the same percentage of increase that the Consumer Price Index, from the base date of April 1, 1984, increases, if any, to the April 1st of the year immediately pre- ceding the commencement of the next 60 month period hereunder. The lease rent shall not be decreased if there is a decrease in the Con- sumer Price Index. Future rents shall be payable 60 months in advance, at the commencement of each 60 months. "Consumer Price Index" shall mean the All Urban Consumers Index For All Cities, published by the Bureau of Labor Statistics of the United States Department of Labor (1967 =100). In the event the said index has not been published at the time when reference is called thereto, under the terms of this document, the parties shall mutually agree upon a substitute index which is comparable to the index referred to herein. If the parties are unable to agree upon a substitute com- parable index, then the matter of an appropriate and proper substitute comparable index to be used to reflect the intent of this agreement shall be submitted to arbitation in accordance with the laws of the State of Washington and each of the parties shall bear one-half the cost of said arbitration. The determination by arbitration of the appropriate index to use shall be binding upon the parties hereto. In addition to the rent reserved in this section, PNB promises and agrees to pay, as the same shall be due and payable, all license fees and taxes, including, but not limited to the leasehold excise tax (R.C.W. 81.29A) required to be paid by PNB by reason of this lease agreement for PNB's use and occupancy of the leased premises and by reason of PNB's construction or ownership of improvements thereto. The parties mutually acknowledge their intent that any read- justment of rent required pursuant to R.C.W. 14.08.120 shall, as closely as practicable, reflect the expressed intent herein contained as to the rental to be paid for the leased premises, it being further acknowledged that it is to the mutual advantage of both parties to grant PNB this easement lease. 6. The term created by this lease agreement shall commence April 1, 1984, and continue for a period of fifty years, terminating on March 31, 2034. THORNIER. ALMON. KENNEDY & GANO P.S. All improvements by PNB to the leased premises shall conform to all applicable construction and utility codes and to the highest standards of the industry. All such improvements shall be designed with a view towards aesthetic considerations and products of any above ground improvements shall not be inconsistent with drawings and specifications previously shown the Airport Board, or shall be as submitted to and approved by the Airport Board hereafter, which Board shall not unreasonably withhold its approval. 8. PNB shall defend, indemnify and save harmless the Air- port from every claim, action, demand, and judgment made against the Board based upon or arising from the use or occupancy of the leased premises by PNB or from any act or omission of PNB, its employees, agents, or any other person acting on behalf of PNB or under its direction. 9. The failure by PNB to pay rental in the amounts and at the time specified herein, or the failure by PNB to otherwise comply with any term, provision, or condition of this agreement, shall con- stitute grounds for termination of this agreement and the tenancy hereby created and for forfeiture of all rents paid by PNB to the time of termination. This agreement and tenancy shall terminate and rent paid shall be forfeited for cause as specified above on written notice by the Airport to PNB stating the amount of rental in default, or other demand for compliance with the terms of this agreement in the manner specified in the written notice within 60 days from mailing of said notice by the .Airport, otherwise this agreement and tenancy shall be terminated at the end of said notice period and rentals for- feited. 10. At the termination of its tenancy, PNB shall quit and surrender the premises, remove all improvements located thereupon, at no expense to the Airport, and shall restore the premises as closely as practicable to the state enjoyed at the commencement hereof. 11. In the event PNB engages in service to the public in its business conducted on or from the leased premises, PNB agrees and promises to furnish such services to the public on a fair, equal and not unjustly discriminatory basis to all users thereof, and to charge fair, reasonable, and not unjustly discriminatory discounts, rebates or other similar types of price reductions to volume purchasers of PNB services. PNB further promises and agrees that it will no, on the grounds of race, color, or national origin, discriminate or per- mit discrimination against any person or group of persons in any manner prohibited by federal law and regulations. PNB's breach of any promise or agreement contained in this paragraph shall constitute grounds for the termination of this agreement, and in addition there - THORNIER. ALMON. KENNEDY & GANO P.S.
